Terms of Service

These Terms govern your use of Chairside Call. By signing a Pilot Agreement or using our service, you agree to these Terms. Please read them carefully.

1. The Service

Chairside Call provides an AI-powered voice receptionist service for US dental practices ("the Service"). The Service answers inbound patient calls, books and manages appointments in your practice management system (PMS), and routes escalations to your designated on-call staff.

The Service is operated by Chairside Call ("we," "us," or "our"). The dental practice or business entity purchasing the Service is the "Customer."

The Service is available to licensed dental practices operating in the United States. By accepting these Terms, you represent that:

3. Pilot Period & Subscription

Pilot: New Customers begin with a 4-week paid pilot. The pilot fee is billed upfront. You may cancel at the end of the pilot period with written notice; continued use after the pilot converts to a monthly subscription.

Monthly subscriptions renew automatically. To cancel, provide 30 days' written notice to info@chairsidecall.com. You will not be charged after the notice period ends.

Annual subscriptions are prepaid and non-refundable except as provided in Section 10 (Guarantee).

Setup fee: A one-time setup fee covers PMS integration, agent configuration, and go-live support. The setup fee is non-refundable after go-live.

4. Pricing

Current pricing is listed at chairsidecall.com/pricing. We reserve the right to change pricing with 60 days' notice to active subscribers. Price changes do not apply to prepaid annual subscriptions until renewal.

6. HIPAA & Business Associate Agreement

We will execute a Business Associate Agreement (BAA) with each Customer before the Service goes live. The BAA governs our handling of Protected Health Information (PHI) on your behalf. These Terms of Service and the BAA together constitute the complete agreement regarding PHI.

You are responsible for ensuring your practice's use of the Service complies with the HIPAA Privacy Rule, including obtaining any required patient authorizations.

7. PMS Integration & Data Access

To book appointments, the Service requires read/write access to your PMS. You grant us a limited, non-exclusive license to access your PMS solely for the purpose of delivering the Service. We will not access your PMS data for any other purpose.

You are responsible for maintaining valid PMS credentials and notifying us promptly of any access changes.

8. Intellectual Property

Chairside Call retains all rights to the Service, including its AI models, voice agents, software, and branding. These Terms do not grant you any ownership rights in the Service.

You retain all rights to your practice data, including patient records. We claim no ownership over data you provide to us or that flows through the Service on your behalf.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS." WE MAKE NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE AI WILL HANDLE EVERY CALL PERFECTLY. THE SERVICE IS A TOOL TO ASSIST YOUR FRONT DESK — IT DOES NOT REPLACE CLINICAL JUDGMENT OR THE RESPONSIBILITY OF YOUR LICENSED STAFF.

We are not liable for missed calls, scheduling errors, or patient dissatisfaction arising from AI mistakes, PMS downtime, or telephony outages outside our control.

10. Money-Back Guarantee

If within 60 days of go-live you have not recovered at least 5 missed-call patients attributable to the Service, we will refund your first month's subscription fee upon written request. This is your sole remedy under the guarantee. Setup fees are excluded.

11. Limitation of Liability

To the maximum extent permitted by law, our total liability to you for any claim arising from these Terms or the Service is limited to the fees you paid in the 3 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

12. Termination

Either party may terminate the Service agreement with 30 days' written notice. We may terminate immediately if you breach these Terms, fail to pay fees, or use the Service in a way that creates legal or regulatory risk for us or your patients.

Upon termination, we will provide a data export within 10 business days and delete your data within 30 days, except where retention is required by law.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Tennessee. Any dispute shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under JAMS rules, conducted in Nashville, TN, or remotely by mutual agreement.

14. Changes to These Terms

We may update these Terms with 30 days' notice to active Customers. Continued use after the notice period constitutes acceptance. If you object to a change, you may terminate without penalty before the effective date.
